Once a Principal Buyer is identified and the following procedures are agreed upon, an introduction is made directly to the seller. The intermediaries in this transaction are paid by the buyer. There is a $2.00 fee which is added to the discounted price for commissions.

The Supplier, who is the Owner and Title Holder of the Fuel, will be identified once procedures are agreed upon. An executed and binding Offer & Advice directly from the Supplier s CEO will be addressed directly to the Principal Buyer, stating the procedures below, on the Supplier s company letterhead. The Title Holder and Co Seller will be listed on the Contract as well as the Title Holder s Trade Bank; all with full information. The contract will be with the Title Holder and Principle Buyer and lodged at Seller s bank s trade desk (top 50 Global Bank) immediately upon signing. Seller s bank s trade desk acts as escrow agent and guarantor for the transaction.

Duration: ROLLING SPOT CONTRACT 12 MONTHS WITH ROLLS AND EXTENSIONS UP TO 60 MONTHS
Price: NWE PLATT Minus 10% up to NWE PLATT Minus 15% at seller's discretion
Delivery: FOB ROTTERDAM
Delivery Time: Immediately liftable upon posting of Buyer s banking instrument
Packing: BULK
Payment: MT103 or TT WIRE

PROCEDURES

(Pre contract procedures):
Buyer reviews procedures with introducing broker.
Buyer agrees to procedures and signs this form accepting procedures and commissions.
Buyer signs introducing broker NCND/IMFPA.
Introducing broker schedules conference call between buyer AGENT and seller AGENT(s).
Then proceed to conference call between Seller and Buyer.
Seller sends to buyer binding and executed offer and advice directly including LOI template.
Buyer submits Request for Contract (LOI, or ICPO confirming the procedures and including complete banking.) BCL is requested.

Buyer alerts his banker to expect a call from our banker, Bank TBA, to verify funds and assist in the required block the funds.
Buyer s banker will confirm POP and logistics.

(Contract procedures)
Seller issues draft contract in the Buyers name.
1.1. Buyer and Seller sign and execute contract by lodging with their respective banks. The contract has a bilateral penalty of 20% of the total value of the contract for non performance. This is backed by the Top 50 Global Bank whose trade desk is used by the Seller. The bank holds a AA Moody s credit rating.
1.2. Buyer initiates the transaction by issuing a bank to bank Proof of Funds (POF) via SWIFT MT543 or blocked funds MT 760, or by cash backed SBLC, or by Administrative Hold by Trust department of Buyer s bank.
1.3. A confirmation copy of the POF SWIFT transmission must be immediately emailed to Seller for documentation.
1.4. Upon receipt of the POF SWIFT, or Administrative Hold, the Seller s bank will immediately issue via SWIFT 799: Tank farm receipts, SGS report on Quality and Quantity and the authorization to perform a Dip Test to Buyer s Bank as well as email the Buyer the Commercial Invoice with the agreed upon price.
1.5. Upon receipt of the seller s SWIFT POP the Buyer verifies fuel and, upon successful dip test, the Buyer transfers payment for Commercial Invoice via SWIFT MT 103 or TT wire all within 24 hours and Title passes to Buyer.
1.6. Buyer transfers the purchased product from Seller s tanks to the Buyer s designated tanks or vessels and the transaction is deemed completed.
