the minimum order quantity is of 1 000.00 mt.
in accordance with the annual contract, the seller undertakes to transfer the volume of goods specified in the buyer's monthly
quantity per month: order to the warehouse at the loading port on a monthly or biweekly basis and to deliver the goods in accordance with the terms of the spa and in accordance with the delivery schedule for each month approved by the parties.
the agreed procedure for concluding of the contract and the shipment for the
trial and monthly batches:
1. the buyer issues the loi;
2. the seller issues final fco and the buyer singes and stamps it and returns to the seller;
3. the seller provide to the buyer by e mail the photos of the goods and video, showing the
bundles, surface and thickness of the cathode sheet. the video must contain information
confirming for whom, on what date and where it was made.
4. the parties provide to each other the cis/kys documentation.
5. the buyer provide to the seller the pof by e mail, conforming that the buyer have funds for
the purchase of the first trial.
6. the seller provide to the buyer by e mail the documents for the previous shipments, namely:
− producer’s certificate of quality;
− independent inspection report (conforming quality of the goods);
− unconditional warehouse releases or bill of ladings (showing the name of the
seller on them).
7. the seller provide to the buyer be e mail pop documents for actual volumes of goods (which
the seller have in stock in drc): − certificate of ownership;
− producer’s certificate of quality;
− certificate of analysis by independent inspection organization (if it is available).
8. upon successful checking of the pop documents the seller shall provide to the buyer the draft
of the sales purchase agreement (spa) to be reviewed and finalized by the parties.
9. the spa comes into force from the moment of its signing;
10. the seller issue the letter from his bank conforming the readiness of the seller’s bank to issue
the performance bond (2%) to the seller;
11. the seller issue the following documents to the buyer:
− commercial invoice for the total volume of the agreed batch of goods;
− producer’s certificate of quality;
− certificate of origin issued of chamber of commerce of the country of origin.
12. upon successful receiving of the documents specified in the clause 10 and clause 11 the buyer
issued to the seller the dlc(r) for the agreed batch of goods (the dlc should be irrevocable,
non transferable, non divisible, renewable for trial shipments and for the monthly
shipments).
13. upon successful receiving of the dlc the seller agrees with the buyer the contain of the
performance bond 2% of the first trial batch and after final confirmation from the seller’s
bank issues it to the seller. the pb should be issued during 3 (three) working days after issued
of the dlc. if the buyer doesn’t issue the pb in the agreed time the spa is terminated and the
dlc should be revoked immediately.
14. upon successful receiving of the dlc the buyer immediately starts the process of delivery of
the goods from the drc to the loading port. the delivery should be completed during 6 (six)
or 10 (ton) calendar days after issued of the dlc. the seller should provide to the buyer the
receipt from the port of loading, conforming that the goods arrived to the port successfully.
